Terms of Service

These Terms of Service (“Terms”) govern your use of the online marketplace at https://bizsales.sg (“Bizsales.sg”, “the Site”, “we”, “us”). By registering for an account, publishing a listing, or using the Site in any way you agree to these Terms.

1. What Bizsales.sg is

Bizsales.sg is an online classifieds platform where sellers advertise businesses for sale in Singapore and buyers browse those listings. We are not a broker, agent, intermediary, escrow service, or party to any transaction between users. All negotiations, due diligence, and sale agreements take place directly between buyer and seller.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts under Singapore law to use the Site. You must provide accurate registration information and keep it current.

3. Seller responsibilities

You represent that you have the right to sell the business you list and the right to share any information or images included in the listing.
All information in your listing — including asking price, revenue, profit, staff count, and reason for sale — must be accurate to the best of your knowledge at the time of posting.
You will not list a business you do not own or are not authorised to sell.
You will not use the Site to advertise goods, services, MLM schemes, franchises-for-recruitment, or anything other than a genuine business for sale.
You will respond to buyer enquiries in good faith, and will update or remove your listing promptly once the business is sold or no longer available.

4. Buyer responsibilities

You are responsible for your own due diligence before entering any transaction, including verifying financial records, legal standing, lease terms, and any representations made by the seller.
You will not use buyer tools or contact channels to send spam, harass sellers, scrape listings, or solicit sellers for unrelated services.
You understand that Bizsales.sg does not verify or guarantee any information provided by sellers.

5. Prohibited content and conduct

You must not post content that is false, misleading, fraudulent, defamatory, infringing, illegal under Singapore law, or that promotes any of the above. You must not attempt to circumvent our moderation, automate submissions, reverse-engineer the Site, or interfere with its operation.

6. Moderation and removal

All listings are reviewed before going live. We reserve the right, at our sole discretion and without notice, to reject, edit, or remove any listing or account that we believe violates these Terms, is fraudulent, or is otherwise not in the interest of the marketplace. Refunds, if any, are covered in section 8.

7. Licence to your content

You retain ownership of the content you submit. By submitting it, you grant Bizsales.sg a non-exclusive, worldwide, royalty-free licence to host, display, reformat, and distribute that content as part of operating and promoting the Site. This licence ends when your content is removed, except that we may retain copies for audit, backup, and legal-compliance purposes.

8. Fees

Basic listing is currently free. We may introduce paid tiers, featured listings, or subscription plans in future; if we do, pricing and terms will be disclosed before you incur any charge. We do not take commission on the sale of a business. Fees, if any, for removed or rejected listings are non-refundable unless the removal is due to our error.

9. No warranty

The Site is provided “as is” and “as available”. We make no warranty that listings are accurate, that the Site will be uninterrupted or error-free, or that any business listed is a good investment. We do not endorse any listing or user.

10. Limitation of liability

To the maximum extent permitted by Singapore law, Bizsales.sg, its owners, and its contractors will not be liable for any indirect, incidental, consequential, or special damages, or for lost profits, loss of business, or loss of data, arising out of your use of the Site or any transaction begun through it. Our total cumulative liability will not exceed SGD 100 or the fees you paid us in the 12 months before the claim, whichever is greater.

11. Indemnity

You agree to indemnify and hold Bizsales.sg harmless from any claim arising out of your breach of these Terms, your content, or your conduct on the Site.

12. Termination

You may close your account at any time by contacting admin@bizsales.sg. We may suspend or terminate your account immediately if we believe you have violated these Terms, posed a risk to other users, or engaged in fraud.

13. Changes

We may update these Terms from time to time. Continued use of the Site after an update constitutes acceptance of the new Terms. We will flag material changes on the Site.

14. Governing law

These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with the Site or these Terms will be resolved in the courts of Singapore, which will have exclusive jurisdiction.
